Terms of Service

1. Service Provider
These Terms of Service govern the relationship between ClearNotarium ("we", "us", "the Service Provider"), with offices at R. de Justino Teixeira 847, 4300-281 Porto, Portugal, and any person or entity ("the Client") that engages ClearNotarium for document preparation services.
2. Nature of Services
ClearNotarium provides document preparation services for international export shipments. Our services include the preparation of commercial invoices, packing lists, certificates of origin, customs declaration supporting documents, CMR consignment notes and Intrastat filing data.
Important limitations: ClearNotarium is not a customs broker, customs agent or freight forwarder. We do not:
- Submit customs declarations electronically to the Portuguese customs authority (AT) or any other authority on behalf of clients
- Act as the declarant or representative in customs procedures
- Provide customs classification advice or binding tariff rulings
- Operate freight transport or arrange the physical movement of goods
- Provide legal advice on import or export regulations
The Client remains responsible for ensuring compliance with all applicable import and export regulations, customs requirements and trade restrictions.
3. Client Responsibilities
The Client is responsible for:
- Providing accurate, complete and timely information required for document preparation
- Verifying that the information provided to ClearNotarium is correct before we prepare documents based on it
- Reviewing all prepared documents before use and confirming they are correct
- Ensuring that the goods being exported comply with all applicable regulations in both the exporting and importing countries
- Engaging a licensed customs broker where customs representation is required
- Paying invoices within the agreed payment terms
4. Document Accuracy
ClearNotarium prepares documents based on the information provided by the Client. We apply our knowledge of documentation requirements for the relevant markets to structure documents correctly. However, the accuracy of the underlying commercial information (values, quantities, goods descriptions, buyer and seller details) depends on the information the Client provides.
ClearNotarium does not independently verify the accuracy of the commercial information provided by the Client. Documents prepared by ClearNotarium are based on the Client's representations about their shipment.
5. Liability
ClearNotarium's liability for errors in document preparation is limited to the fees paid for the specific document set in which the error occurred. ClearNotarium is not liable for:
- Delays at borders or ports resulting from documentation issues where those issues arose from inaccurate information provided by the Client
- Customs duties, fines or penalties imposed on the Client by customs authorities
- Loss of business, loss of profit or indirect losses of any kind
- Changes in documentation requirements that occur after documents have been prepared and delivered
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be limited under Portuguese law.
6. Intellectual Property
Document templates and preparation methods developed by ClearNotarium remain our intellectual property. Documents prepared for a specific Client shipment are delivered to and owned by the Client for their intended use.
7. Confidentiality
ClearNotarium treats all Client shipment information as confidential. We do not share Client commercial information with third parties except as required to provide the services (e.g., submitting a certificate of origin application to the Chamber of Commerce on the Client's behalf) or as required by law.
8. Payment Terms
Payment terms are set out in the service agreement or invoice. Standard payment terms are 30 days from invoice date unless otherwise agreed. Late payment may attract interest at the rate applicable under Portuguese commercial law (Lei n.º 62/2013 and related legislation).
9. Termination
Either party may terminate a service arrangement with 30 days' written notice. Per-shipment engagements conclude upon delivery of the document set. The Client remains liable for fees for work completed prior to termination.
10. Governing Law and Jurisdiction
These Terms are governed by Portuguese law. Any disputes arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Porto, Portugal, without prejudice to any mandatory consumer protection provisions that may apply.
11. Changes to Terms
We may update these Terms from time to time. The date at the top of this page indicates the last revision. Continued use of our services after notification of changes constitutes acceptance of the updated Terms.
